The details of the terms of the SquidGuild program are as follows:

TurboSquid Loyalty Program Additional Terms and Conditions

Turbo Squid, Inc. and its affiliates and related companies (collectively "TurboSquid"), operate turbosquid.com and gamasutraexchange.com (each referred to as "Website"). The terms and conditions set forth herein (the "Loyalty Terms") constitute a legally binding agreement between TurboSquid and you ("You" or "Your") regarding the terms on which TurboSquid offers You access to its Loyalty Program (the "SquidGuild"). Your use of the Website or Service and participation in the SquidGuild constitutes acceptance of these Terms.

The general TurboSquid EULA ("General EULA" Click Here) is incorporated herein by reference.

Unless otherwise set forth herein, all capitalized terms in the Loyalty Terms refer to the those from the General EULA.

Increased Royalty and TurboSquid Exclusivity

Sellers may participate in the SquidGuild by applying to the program and agreeing to these Loyalty Terms.

Participation in the SquidGuild may allow Seller to access to an increased royalty rate as high as 60% on a Valid Sale of Content.

As a condition for participation in the SquidGuild, Seller must list all Seller's Content exclusively with TurbSquid unless otherwise set forth herein as of the start date of participation in the SquidGuild. Seller Content is limited to 3D Models and Texture Maps and includes any variations of Content including varying poly counts, textures and file types.  

Exclusions to TurboSquid Exclusivity

Sellers may list Content with other distribution channels in the following circumstances: (1) if Content is free and on a personal webpage; and (2) if Content is for sale, but for sale only on a personal webpage marketplace in existence before July 15th, 2009, so long as that personal webpage marketplace sells only the Content of the Seller.

Promotion

Nothing in these Loyalty Terms prevents promotion or advertising of Seller Content. Seller's may promote Content through legal mechanisms used prior to participation in the SquidGuild.

Work-For-Hire and Employment

Nothing in these Loyalty Terms prevents Seller from working as an independent contractor or in an employment capacity to produce digital materials under the explicit specification and direction of a third party or in Seller's own business.

Termination

Seller may terminate participation in the SquidGuild by giving TurboSquid 30 days prior notice in writing to by going to www.turbosquid.com/Support and clicking "Open a Support Ticket". During the termination period, Seller must continue to list Seller's content exclusively with TurboSquid.

If Seller terminates participation in the SquidGuild through giving notice as set forth above, there is a 90 day waiting period before Seller can re-apply to participate in the SquidGuild.

TurboSquid continues to have the right to immediately terminate its license for and participation in the Website for any violation of the General EULA as well as any violation of these Loyalty Terms as judged in its sole discretion.

Confidential Information

As part of Seller's participation in the SquidGuild, Seller may have access to certain reports, records, and other business information available only to participants of the SquidGuild. Such information is the confidential information of TurboSquid and should be treated as confidential. Seller should not disclose such confidential information and should use reasonable physical and electronic security measures to safeguard such confidential information.
